Questions about the Joint Venture Agreement

It is an arrangement in which two or three existing businesses or individuals agree to work together on one specific project and share its results, without forming a new company. Each venturer keeps running its own business separately.

It does not form a company and makes no state filing. The venturers state that they do not intend a general partnership beyond the project, but a court may treat a joint venture like a partnership for some purposes, including responsibility to outsiders. If you want a separate entity with limited liability, consider forming an LLC instead.

You can set a percentage for each venturer, which must add up to 100, share in proportion to the agreed value of each venturer's contribution, or share equally.

Each venturer keeps the intellectual property it brings, licensed for the project only. You choose whether new project IP is owned jointly or by the venturer that develops it, with a license to the others.

Not generally. You can add an optional exclusivity promise that lasts only during the venture and covers only the project described. Each venturer's other business stays its own.
