What this document does

A tenant under a residential or commercial lease signs it at the landlord's request to confirm, for a buyer, lender, or other party relying on it, the lease and its amendments, the premises and dates, the current rent and the date it is paid through, the security deposit, any options, known defaults and offsets, and notices of transfer or subordination. It certifies facts only: it does not amend or replace the lease, and it is not a lease, a lease amendment, or a subordination agreement.

Questions about the Tenant Estoppel Certificate

It is a signed statement by a tenant confirming the basic facts of its lease as of a date: which documents make up the lease, the premises, the term, the current rent and the date it is paid through, the security deposit, any options, and whether the tenant knows of any defaults or claims. Landlords usually ask for one when they sell or refinance a property.

No. This certificate states facts; it says in its own terms that it does not amend, extend, or waive any part of the lease. The buyer, lender, or other party it is addressed to may rely on what it says, so the tenant should check every statement against the lease and its records before signing.

You can disclose it. The questionnaire lets the tenant describe any landlord default it knows of, any default or notice of default against the tenant, and any offset, credit, or defense it claims. If there are none, the certificate says so, using "to the tenant's knowledge" where a tenant cannot know for certain.

Yes. You choose the type of lease. For a commercial lease the certificate can also cover base rent and other charges such as a share of operating expenses, landlord work or an improvement allowance still outstanding, and a letter of credit instead of a cash deposit.

You can name a specific buyer, lender, or other recipient, and the certificate is then given for the benefit of the landlord and that party and their successors. If no recipient is named, it is given to the landlord and its present or future buyers and lenders.
