Questions about the Marketing Services Agreement

The marketing channels and services, any deliverables, how content is approved before it is published, how advertising spend is paid for and capped, how often results are reported, who owns the ad and social media accounts, who owns the creative work, the fees, and how either side can end the agreement.

You choose whether the client pays the ad platforms directly or the agency pays them and bills the client at cost. Either way you set a monthly ad budget that cannot be exceeded without the client's written approval, and you can add a management fee as a percentage of ad spend.

The client. The agreement says the client owns its advertising, social media, analytics and email accounts and the data in them, and the agency must hand back full control when the agreement ends.

No. Rankings, traffic, leads and sales depend on many things outside the agency's control, so the agreement says forecasts are estimates, not promises. The agency does commit to regular performance reports.
